Contractor Agreement

This Contractor Agreement ("Agreement") is a legal contract between you ("Contractor", "Pro", or "you") and My Garden Pool (DEMIL LLC) ("Pool-IQ", "we", "us", or "our"). By registering as a Contractor on the Pool-IQ platform, you agree to be bound by this Agreement.

1. Scope of Services

Pool-IQ provides a marketplace platform that allows you to bid on and perform pool maintenance, repair, and related services for Pool Owners. You are responsible for providing all tools, equipment, and materials necessary to perform the services.

2. Independent Contractor Status

You acknowledge and agree that you are an independent contractor and not an employee, agent, joint venturer, or partner of Pool-IQ. You have no authority to bind Pool-IQ to any agreement or obligation. You are solely responsible for:

  • Determining the manner and means of performing your services.
  • Setting your own schedule and service areas.
  • Paying all applicable federal, state, and local taxes, including self-employment taxes.
  • Maintaining your own workers' compensation, liability, and other insurance.

3. Representations and Warranties

You represent and warrant that:

  • You are at least 18 years of age and have the legal capacity to enter into this Agreement.
  • You possess all licenses, certifications, and permits required by law to perform the services you offer.
  • You will perform all services in a professional, workmanlike manner consistent with industry standards.
  • All information provided in your profile and bids is accurate and truthful.

4. Marketplace Fees and Payments

Pool-IQ may charge subscription fees for access to the platform and/or service fees on transactions. All fees are disclosed in your Pro Dashboard. You agree that all payments from Pool Owners for jobs found through Pool-IQ must be processed through the platform's designated payment system unless otherwise authorized in writing.

5. Insurance Requirements

You agree to maintain appropriate general liability insurance and any other insurance required by law in your jurisdiction. Pool-IQ may request proof of insurance at any time. Failure to maintain required insurance is grounds for immediate termination of your account.

6. Indemnification

You agree to indemnify, defend, and hold harmless Pool-IQ (DEMIL LLC) and its officers, directors, and employees from any and all claims, damages, liabilities, and expenses arising out of your performance of services, your breach of this Agreement, or your violation of any law or the rights of a third party.

7. Termination

Either party may terminate this Agreement at any time for any reason. Upon termination, you must complete any outstanding jobs already accepted or reach a mutual agreement with the Pool Owner for cancellation.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
